From what I've read in the FT and other business pages, and having worked in the financial part of London City for 30+ years Everton and USM have done nothing wrong.
With the FFP, just like the Income Tax and any other monetary law there are loop holes. Just like City, we have found it and used it to our advantage. Officially there is no 'going rate' for sponsorship. For one, not many training facilities are sponsored. Also we have possibly one of the best facilities in Europe. So if UEFA want to investigate, they can and in a European Court nothing will stand up. There's no precedent set, not many other training facilities are sponsored. So there's no way to gather a going rate.
What Moshiri, and possibly Usmanov have done is genius. That's why they're billionaires.
This is the sort of thing I expected to happen when Moshiri arrived.

Yep it's basically 15m a year for advertising rights that can be used by multiple companiesI dont know if it makes any difference, but what determins the market value? Because this deal offers player access to all the companies within USM holdings, so it's not like it's just one company wanting advertising, it could be anyone from Spotify to airbnb or many others that USM hold a stake in, so you'd expect the club would want more in return (or that's what they tell UEFA)

I think that is possibly an oversimplifaction. I don't doubt they have done their due dilligence but establishing a market rate is a real and standard process.
If two compaines lend money between themselves, they cannot just "do it". They need to ensure they do so at a market rate for all sorts of reasons not least money laundering.
If it ever gets to court which is extremely unlikely it will be up to the Judge to decide based on the evidence provided.

These guys have the best accountants in the world at their beckoning call. If there's a loophole, they'll find it and abuse it to the full extent.
It's not lending money though?! A company is paying another company for a sponsorship. Under UEFA governing law, there's no rules about how much sponsorships can be worth. If UEFA want to go down that line, they'll have to create a cap.
There's no precedent, and there's no guidelines in the governing body law. It'll take a Judge with big balls, or a Kopite, to make a judgement against it.
