It means one of two things.

Either the Board are selling 49.9% or they are issuing 34,993 new shares which Moshiri is buying.

That was not how I saw this sale going down. This isn't a takeover yet.

If true my guess it is some sort of staged takeover. Moshiri is the largest shareholder and has final decision making. But after a certain period of time has the first option to buy out shares to achieve a simple majority. This has happened in the states a few times with sports teams. Allows him to come up to speed, ease the transition. Bill keeps his train set a little longer.
