So the price Kroenke paid for those shares would put his offer to Usmanov last year to value the shares at a similar price.

If he reaches 70% doesn't he have to make an offer for all remaining shares or did I make that up?

While Usmanov holds his shares he’ll never achieve the 70% anyway

Why would he buy Everton shares, when he sit's on a gold mine, with his Arsenal shares?

Other than, he really think that the "docks", are worth more, as an investment, since he can not hold shares in bouth clubs.

Rule 9 of the City Code on Takeovers and Mergers (the "Takeover Code") states that any party who makes an acquisition that takes their holding over 30% is obliged to make an offer to all other shareholders of the Company. Once someone holds between 30% and 50%, if they then acquire further shares they again have to make a mandatory offer to all other shareholders.

Once a shareholder is over 50% however, they are free to acquire as many shares as they wish. Once they obtain over 90% of shares, they are permitted to "squeeze-out" all other shareholders with a mandatory purchase of their shares.

There is no rule re. a 70% threshold. Whilst Usmanov owns more than 25% though, he is able to veto any Special Resolutions at General Meetings of the company, which affords him (and the other minority holders) some protection against Kroenke from doing exactly what he wants - selling the assets of the Company to another Kroenke company for example.

He’s worth billions and is in his 60s. Not like he needs the money through his Arsenal investments, is it?

Buying football clubs is a vanity project.
