I don't know if anyone knows for sure, but I heard for the first time the other day that it is reactivated every transfer window, for a period.

From an Everton perspective the clause means that Fellaini will never sell for more than 23m no matter what he achieves.
It will make life very difficult for a manager because it means that you have no real control over your team and the more influential Fellaini becomes then the greater is the loss when he goes.
