Why couldn't the Naismith deal have collapsed?

They might have found a deep underlying problem, like was the case with Demba Ba (Stoke found something and would only offer a pay as you play deal IIRCl)

just a rumour lads been doing the rounds, cartilage problem, he wants to join everton want him, he says he is fit but we want guarantees, not dead in the water yet, its just a rumour don't know anything concrete
Supporting Everton really hammers home the fact that there is no such thing as a sure thing. First with coming out with a bid with real money when we thought we'd get a loan at best then seemingly messing up a transfer that seemed all but done.

Clubs agree to a fee subject to a player satisfying a medical. If it turns out that EFC found something they did not like in the medical, they can decline the original agreement and counteroffer new terms if they want the player on reduced or amended terms. That appears to be most likely if these rumors are accurate.
If there were performance payments built into the original agreement, they would almost certainly be renegotiated if a medical turned up something that could affect those bonuses being triggered.
