Not sure minority shareholders like JS would be able to make any difference tbh, I thought over a certain % the majority owner can essentially force shareholders to sell stock under drag-along clauses and buyout provisions etc.
I’d assume 94% would be sufficient for that to be implemented if TFG wanted to.

It's doubtful the minority shareholder can block much. From reading what the resolutions are, however, it's likely their shareholding will be diluted which makes perfect sense as TFG is plowing in a ton of money to make this work.

This is actually a consequence of the new PL rule regarding shareholder loans. In the past, if one shareholder wanted to contribute capital, they'd do through a shareholder loan and that would not affect the number of shares issued. That's no longer in the toolbox.

The new owner would need to make a mandatory offer I think as they're acquiring more than 30% of the shares. The minority shareholder can't be forced to sell however, the rule is meant to protect the minority shareholder.

Yes, reading more, I think that is correct over when the bidder acquires 90%.

For private companies I believe that only applies if the articles have it specifically stated, no idea if Everton does.
