Long story short, Tomlinson & business partner John Ryan failed a Football League Fit & Proper Persons Test because they couldn't provide proof that they had the £5m they claimed they had, to purchase the club.
Part of the deal was that Tomlinson was going to try and raise £2m from his 1D fans. He was only able to raise £757,796, so the whole thing collapsed.

Tomlinson claimed that he was told Ryan had the funds and wasn't dependent on Tomlinson's fundraising but that wasn't the case. As many suspected, it appears Tomlinson's fame was getting exploited and he was lied to.
